  Trying to Understand SEIS vs EIS Before Structuring Our Raise (3 อ่าน)

<p dir="ltr"><span dir="auto" style="vertical-align: inherit;"><span dir="auto" style="vertical-align: inherit;">We are trying to structure our upcoming raise and I wanted to actually understand SEIS vs EIS before assuming they are basically the same scheme with a different name. Here is what I have pieced together so far, would appreciate anyone correcting me or adding context.</span></span>

<p dir="ltr"><span dir="auto" style="vertical-align: inherit;"><span dir="auto" style="vertical-align: inherit;">From what I understand, both are UK government schemes designed to encourage investment in early stage companies by giving investors significant tax relief, but they are meant for different stages of a company's life and come with different limits. SEIS is aimed at very early stage companies, generally ones that have been trading for a shorter period and have lower gross assets, and it offers a higher rate of income tax relief to investors compared to EIS, reflecting the higher risk of investing at such an early stage. There is also a maximum amount a company can raise under SEIS in total, which is relatively small compared to what is allowed under EIS.</span></span>

<p dir="ltr"><span dir="auto" style="vertical-align: inherit;"><span dir="auto" style="vertical-align: inherit;">EIS is designed for slightly more established companies, with higher limits on both gross assets and the total amount that can be raised, and it offers a somewhat lower rate of income tax relief than SEIS, though still significant compared to an unrelieved investment. Companies often use SEIS first to raise an initial smaller round, then move on to EIS for a larger subsequent round once they have grown past the SEIS eligibility thresholds, rather than choosing one over the other permanently.</span></span>

<p dir="ltr"><span dir="auto" style="vertical-align: inherit;"><span dir="auto" style="vertical-align: inherit;">What I am still trying to understand is how strict the eligibility rules actually are in practice, especially around what counts as gross assets and whether certain business activities are excluded from either scheme entirely, since I have read that some sectors do not qualify for either regardless of company size or age.</span></span>
